Submission to Bank Millennium S.A. by shareholder Allianz Polska Otwarty Fundusz Emerytalny, of the candidacy to Bank’s Supervisory Board

The Management Board of Bank Millennium S.A. (the "Bank") informs that in connection with the Ordinary General Meeting of the Bank convened for 27 March 2025 (the "General Meeting"), the shareholder Allianz Polska Otwarty Fundusz Emerytalny with its registered office in Warsaw represented by PTE Allianz Polska S.A. with its registered office in Warsaw, submitted to the Bank the candidacy of Ms. Izabela Olszewska for a member of the Bank's Supervisory Board.

Item 18 of the agenda of the General Meeting covers selection and assessment of suitability of the candidates for members of the Supervisory Board of the Bank, and election of Members of the Supervisory Board.

The candidate's curriculum vitae constitutes attachment to this report.

Ms. Izabela Olszewska agreed to submit her candidacy and perform the function of a member of the Supervisory Board, in the case of appointment. The candidate is independent, does not conduct any activity competitive to the Bank (neither as a shareholder or participant of competitive companies, nor as a member of the governing bodies of such companies), is not listed in the register of insolvent debtors, and has not been convicted by a final judgment for an offence referred to in the provisions indicated in Article 18 paragraph 2 of the Commercial Companies Code (nor is she a defendant in criminal proceedings conducted on the basis of such provisions).

Legal basis:
§ 19 sec. 1 pt. 4 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodical information disclosed by issuers of securities and conditions to be met when recognising as equivalent information disclosed under laws of a state which is not a member state.
